Welcome to Suzhou Honest Intelligent Manufacturing Co., Ltd. (“HIM”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of the honestplas.com website, as well as the OEM/ODM manufacturing, mold development, and product assembly services provided by our company.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must refrain from using our website and services.

1. Scope of Services

HIM provides professional B2B manufacturing solutions, including but not limited to: plastic injection molding, custom mold design and manufacturing, product assembly, and packaging. All services are performed based on the specific technical requirements, 3D data, and 2D drawings provided by the client, or developed collaboratively through our Design for Manufacturing (DFM) process.

2. Quotations and Orders

• Quotations: All quotations provided by HIM are valid for 30 days from the date of issuance unless otherwise specified. Quotes are based on the initial specifications provided and may be revised if project scope, raw material costs, or exchange rates fluctuate significantly.
• Order Acceptance: An order is only considered legally binding once a formal Purchase Order (PO) is received from the client and officially acknowledged and confirmed by HIM.
• Mold and Tooling Ownership: Upon full payment of all tooling and mold development fees, the custom mold(s) become the exclusive property of the client. Unless otherwise requested (such as export molds), molds remain at the HIM facility for the sole purpose of manufacturing the client’s production orders.

3. Intellectual Property and Confidentiality

• Client IP: The client retains all intellectual property rights to their product designs, 3D models, drawings, and physical samples provided to HIM. HIM agrees not to use, reproduce, or distribute the client’s IP for any purpose other than fulfilling the client’s orders.
• HIM IP: HIM retains all rights to its proprietary manufacturing processes, internal quality control methodologies, and general operational technologies.
• Confidentiality (NDA): We treat all client project data as strictly confidential. We are willing to sign a formal Non-Disclosure Agreement (NDA) before you share any sensitive product designs or concepts.

4. Client Responsibilities and Warranties

By submitting designs or ordering products from HIM, you represent and warrant that:

• You hold the legal right, title, or necessary licenses to manufacture the provided designs and use the associated trademarks or logos.
• The production of your requested items will not infringe upon the copyrights, patents, trade secrets, or other intellectual property rights of any third party.
• You are responsible for ensuring that the final product design complies with the safety, regulatory, and legal requirements of the destination country where the products will be sold or used.

5. Payment Terms

Standard payment terms will be specified in the official quotation and commercial invoice. Generally, mold development requires a 50% deposit before design/machining begins, with the balance due upon sample approval (T1/T2). For mass production, standard B2B terms (such as a 30% advance deposit via T/T, with the balance due before shipment) apply, unless alternative credit terms have been formally established.

6. Quality Assurance and Returns

HIM operates under ISO 9001 and ISO 13485 quality management systems. We guarantee that all mass-produced goods will match the material specifications and the physical characteristics of the final approved “Golden Sample”.

In the rare event of a manufacturing defect directly caused by our production process, claims must be submitted in writing within 30 days of receiving the goods. Our liability is limited to the replacement of the defective parts or a corresponding credit, at our sole discretion. We are not liable for functional failures arising from inherent design flaws provided by the client.

7. Shipping, Delivery, and Risk of Loss

Delivery dates provided by HIM are estimates based on current production schedules and are not guaranteed. HIM is not liable for delays caused by force majeure, shipping carriers, or customs clearances. Unless otherwise agreed in writing (e.g., specific Incoterms like FOB, CIF, DDP), the risk of loss or damage to the products passes to the client once the goods are handed over to the first carrier or freight forwarder.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Suzhou Honest Intelligent Manufacturing Co., Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our manufacturing services or website.

9. Governing Law and Jurisdiction

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from or relating to these Terms or our business relationship shall be subject to the exclusive jurisdiction of the competent courts in Suzhou, Jiangsu Province, China.

10. Modifications to Terms

We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or services following the posting of any changes constitutes acceptance of those changes.
